Description
The lecture deals with the relevant international conventions and regulations which apply to international contracts. In particular the United Nations Convention on Contracts for the International Sale of Goods (CISG – also called: Vienna Convention) which is in force in more than 83 states worldwide will be discussed in detail. It will be analysed in which cases the United Nations Convention applies and which options the parties of a contract have to choose the law for their contract. The students will get to know the requirements that are necessary for a valid contract. Furthermore, the lecture describes the rights and obligations of the seller and the buyer each to the other in international sale contracts as well as the consequences that arise if the seller or buyer does not properly carry out his or her contractual obligations. In order to show the relevance of these legal aspects for the practice, typical clauses of international contracts will be discussed.
